BNC Settles Proxy Fight with CZ Tied Family Office, Appoints New Board Members

CEA Industries (Nasdaq: BNC) has put an end to its months-long proxy contest with YZi Labs, a family office of Binance co-founder Changpeng Zhao. A cooperation agreement signed on June 23 marks the resolution of the dispute.

The deal brings three new directors linked to YZi Labs onto BNC's board: Ella Zhang, Alex Odagiu, and Matthew Roszak. Odagiu will serve as Interim President, granting YZi Labs direct operational influence over the company.

This agreement dissolves a consent solicitation launched by YZi Labs in response to governance issues at BNC. The two companies are jointly searching for an additional independent director with blockchain expertise. A CEO Search Committee has been formed to find permanent leadership with experience in both digital assets and public company governance.
