DeFi Platforms May Face SEC Scrutiny as Securities
The SEC's Hester Peirce has sent a warning to DeFi vaults and onchain lending platforms, suggesting they may be subject to securities regulations. In her statement, Peirce emphasized that if these platforms operate in a way where there is an expectation of profit derived from the efforts of others, they may meet the criteria for being considered a security.
The Howey Test, used to determine what constitutes a security, is at the center of this issue. If DeFi platforms are structured and managed in a manner that resembles a common enterprise, with users expecting a return from managerial efforts, they could be viewed as securities.
Peirce's statement specifically called out Yearn Finance and Aave, two popular DeFi platforms, for potentially being subject to regulation. The key factor is the degree of human discretion involved in these platforms' operations.
